Legal Certainty for Consignment Sales

The Court of Appeal in Ghent recently ruled that the deposit of goods on consignment does not constitute a deposit but constitutes a contract of sale subject to (the fulfilment) of a suspensive condition. The giving of goods on consigment is a practise that it often confused with a deposit. The difference is essential: it is not a matter of storing them but of selling them. The essentiel feature of a consignment is the intent of the consignee to sell the item. Although ruled in the context of a vehicle sale, the ruling can perfectly  be aplied to the art community. If artworks are consigned to third parties, one has to examine whether the purpose is to sell the artworks. In a gallery context, the answer is obvious. If consigned in the context of museum or other curated shows, the risk exists that the legal relationship is considered to be a deposit.  It is therefore advisable for museums and curating platforms to provide for specific carve-out for liabilities it may incur as a deposit holder.
